AFAIK If you have an upgrade, it will only "upgrade" your current version -
so a valid licence # will not not be enough (i.e. you will need to have it
installed).  If you have an upgrade CD, simply installing it on a blank disk
will result in violation of the license rights; in that case you will
require Product Upgrade.
