I asked my son this question.  He's is a licensing specialist with Ingram
Micro, one of the major software distributors in Australia, and deals with
exactly this kind of question all day.  He's the guy who makes sure that
their clients are sold what they need, but no more, so the price is kept as
low as possible.     So he ought to know the answer, at least as far as the
Australian situation is concerned.  I'm assuming the licensing conditions
dont change from country to country, only prices.

Anyway, here's what he said:

They base the licensing on physical processors, not virtual ones. A single
dual core CPU is only counted as one CPU. Also, they only need licence the
