Generally most OEM's will not warranty a system if you have upgraded the
system with 3rd party hardware. We pay twice what the systems are actualy
worth for our HP Lpr's. It's just a insurance policy I guess.

As for performance. It depends on what applications the server will be
running. If it is just one web site or a few power hungry sites, it would be
much easier to upgrade the current system.
Though I would buy an additional machine and cluster the two if it's only
one site, for peace of mind of redundancy.

Otherwise I think that you may be better off going with another server. Dual
866's will perform better than 4 old P2 Xeon's. Especially if you are
running Windows.

These are my opinions only. What you should do really depends on the
applications you will be running, and what the current server's load
generally is.
