In reality, the two layers (Flash & HTML) should all feed off the one "Model" layer, without these two being embedded inside it (Much like you would make a HTML version and then go out now and great a Flash version).
Yes, this is probably the key issue here: if you're going to build both an HTML version and a Flash version of an application, you should aim to reuse your model completely. Your HTML views + Mach II + your model give you a solid HTML app. Flex + you model give you a solid Flash app (or you could write the UI in Flash of course).
