Binu, I think you have the correct command - if I issue that command on my Ubuntu 12.04 OpenStack Havana box, it succeeds.
Is it possible that you're running a different version of qemu-img? Mine identifies itself as version 1.5.0. Alternatively, is it possible that your cw-aio.ova download failed, or the unpack operation was not clean? My cw-aio.ova has MD5 checksum 51e492aea8152bf1f68539fa6a3b242f and my cw-aio-disk1.vmdk has MD5 checksum 587dbdd5afc9455b9ac1c6a49fc38aa4. Do yours match? Please can you check these? If you still can't convert the image, I might be able to upload my one somewhere, but it's pretty large (~2.4GB) and it would be good to get to the bottom of this issue.
