Assuming that it's a cascade effect from being near capacity, have you taken a look at saving processing and/or memory from other tasks. For instance, real-time anti-virus software can cause significant load on a busy machine. Even if you have it excluding log files and the like, there are some things that you might want to exclude as well. Norton Corporate has a real-time scan monitor that recently showed me that every time a user's .MBX file is written to, IMail creates a temporary .L file, and excluding that file type can save lots of scan time on a busy mail server. There's also a file in IMail's directory that changes every minute, imonitor.dat.
Regarding your setup, I'm surprised at the hit you are taking. I probably have a lot less volume, but in watching task manager on Win2k, it's almost impossible for me to catch sight of Declude's appearances, and it might pull 2% max. I run a dual 1 Ghz PIII RAID 5 system with 1 GB of memory. That's not all that much more powerful than what you are using. Seems kind of strange. Maybe Win2k is actually that much better??? I'm currently runing Declude 1.75i4 with several extensive text filters.

If you were already at 50%-55%, you're close to the limits of the server.
I would recommend adding a line "DECODE OFF" to the
\IMail\Declude\global.cfg file to see if that alleviates the problem (that
will prevent some base64 and HTML decoding that v1.75 does, that could use
some extra CPU time).
