When we purchased our second set of products for a second
server we confirmed that the SA did cover all of our software from
Declude.

If this is so, it was an exception to the normal policy.

The one thing that I think should be addressed is Declude's licensing
policy on a hot-spare system. I know there are some that
keep a backup server fully loaded and ready to take over if a primary
goes down.

The way this has worked in the past is that if the server is truly a hot spare -- meaning that it is never live when the primary server is live -- only one license would be required (since the hot spare is simply a backup copy, just ready to go). However, what would require another license is if both are live at the same time (for example, if you have a primary and backup MX record, or even if you have a second computer running Declude that is connected to the Internet and not in an MX record, but that could be used if people found it). I'm not aware of any changes to this policy.
