This is called "hot standby". Only windows2000 Advanced server has this
built in.
SQL Server 2000 works with Windows NT and Windows 2000 failover clustering
to support immediate failover to a backup server in continuous operation.

Yes you can , you can but one cert of both using Thawte, or 2 certs from
verisign
However whichever you choose the ssl session will be restarted id a session
started on one box ends up on the other box...
overall: you might want to think about this setup more. You will get better
performance using 1 box as a SQL server and the other as your Web/IIS/CF
box.
2 boxs * 98.x% uptime might be better than 1 x 99.x% uptime....
Its always a trade off...
