It isn't.,per se, a legal binding.

There are three things involved here:;
* The OEM licence cost is based on number of units shipped with
Microsoft products.  Some OEM contracts have an adjustment for
percentage of units shipped with Microsoft products.

* If "too many" units are shipped with non-Microsoft
software,Microsoft can (and has) turn around and claim that all units
shipped with Microsoft  software, were shipped with pirated software.

* Microsoft is running campaigns claiming that all FLOSS is pirated
software,and as such users should be penalized to the maximum extent
of the law. [Microsoft has increasingly turned to bribes to enforce
governments and companies to use its projects, and to pass legislation
to ban FLOSS. Mass is just one example of a state that was subject to
Microsoft bribers.The fast track that Microsoft is pursuing for its
open XML format is another example of their bribing of officials to
work against the public good.]
