Because the sample rate is changed, and it's not an easy multiple change, ALL bits will be altered, to try and replicate the same waveform as the original 16bit 44.14kbit/s FLAC file. This will in theory be lossless, as there is no attempt to reduce the content, but in reality it will not result in identical audio signals.
