Why the need for a rackmount chassis?  I would assume you're not
planning on placing it in rack or cabinet unless you have other
rackmount equipment.

I'd be leery of building a computer in a rackmount chassis with no
fans.  Even if the PSU and the CPU can get by, the hard drive may not. 
Cram it all into a tiny space and you're asking for heat related
problems.  I've seen some rackmount chassis that were fanless, but
they're generally intended for building things like routers and
firewalls with either solid state drives or very little disk activity.
