Why the need for a rackmount chassis? I would assume you're not planning on placing it in rack or cabinet unless you have other rackmount equipment.
I'd be leery of building a computer in a rackmount chassis with no fans. Even if the PSU and the CPU can get by, the hard drive may not. Cram it all into a tiny space and you're asking for heat related problems.
