The confusing part for many is what exactly "upgrade your active directory" means.
As you say, it will run with Win2k AD servers, but you still should do the adprep from w2k3 and then the forestprep from e2k3 I believe. But that only applies to the server on which Exchange is running. The other infrastructure servers, as well as the AD Schema need to be updated to Windows 2003 before touching the Exchange server.
