You just need to have Exchange on Windows 2003. You need to have one of
your domain controllers on Windows 2003, and it needs to be global
catalog. 
When you make the registry changes for RPC/HTTP point it at the new
Windows 2003 DC.

All in this case meaning Exchange servers and domain controllers right?
File servers and the like would not need to be upgraded (obvious I know,
