I don't know much about all the trickery used in mSys, but the coolpit in fossil is here: <http://fossil-scm.org/index.html/artifact/2ec980a6a8418481?ln=266> apparently, the isatty() call under Windows doesn't give the right answer here, that's what prevents the prompt to be generated. I don't know what can be done about this. Maybe just do "fossil sync" once just to store the password. From then on, you can use mSys just fine, as the password is already stored. Maybe a new option "--save-passwd" would be easiest, which forces the password given in the URL to be saved.
