I couldn't find anything to answer this question. Do you have contact with 
VMware/EMC? Maybe we can ask them if it's ok to package vmware-tools.

I have compared the tarball from vmware-workstation-4.5.2 and vmware-gsx-3.1 
and noticed that that are not identical. I don't know what the difference is 
and if they are compatible.
