  "Robert's Rules of Order" is a book which documents a full system of
parliamentary procedure.  Note that it's not the only such book.  RROR
spells out quite a few things (including something like 12 different
kinds of motions) which I believe would be overkill for us.  On the
other hand, I believe a total lack of formal procedure isn't good
either.

  A gentleman by the name of Jim Slaughter has a good website on

  Part of the problem is no definition on what the "formal decisions"
should be about.

  Also note that the notes on the website are very much *NOT* formal
minutes.  They are notes on what was discussed.  I feel it is as
important to document that discussion as it is to document Formal
Decisions of the Board of Directors.  A lot of stuff can, should, and
will happen outside of the formal decisions.  That stuff is what we're
here for.  I don't think anyone signed up for this just so we could
have a Board of Directors and keep Minutes.  Those things should
enable our purpose, not be it.  :-)
