A base 2008 install with no graphics options eats about 4-500 megabytes of ram just sitting there, logged in.
If you're used to command line access, try getting the server installed in "core" mode. If I'm not mistaken, that should free up some more resources as well. Just make sure you're comfortable dealing with a primarily CLI interface ....
