Just assign the new server the old IP right off the bat, stop the
IMail services on both servers, change the IP of the old server to
enable the network file copy, plug in the new server, copy the stuff
over, and start the services on the new server.

Your e-mail should not need to be unavailable for any longer than it
takes you to copy old mailboxes from one server to the other. The
IMail installation and registry import (via floppy, perhaps) should
all be able to happen while the new server is offline.
