Try sleep from the resource kit.  you can download the nt3.5 resource
kit from microsoft's ftp site if you havent got the nt4 or higher one. 
works fine on w2k.

The following is probably got syntax errors in and could be done better
but it gives the general idea.

net stop smtprcv
net stop smtpds
net stop pop3s

:waitforsmtprcv
tlist |findstr /i /c:"smtprcv.exe"
if errorlevel 1 goto restart
sleep 10
set waitfor=%waitfor%0
if "%waitfor%" == "00000000000" goto killsmtprcv
goto waitforsmtprcv

:killsmtprcv
rem after 2 minutes it still hand finished - kill it
kill -f smtprcv.exe

:restart
net start pop3s
net start smtpds
net start smptrcv
