I just had the same question, so if you are subscribed to the list, read the last few emails titled "Restart of SMTPRcv v.50 hangs" and one earlier titled "smtprcv 0.50 stop/start (restart)".
The problem is that it takes longer to restart in W2K3 than in W2K or NT, which I had been using. Don't worry about the "Overlapped I/O.." error message. Just be sure to stop it, wait, and then start it.
