Hi Cathy, Depending on what context you are referring to when speaking of upgrading to XP, if you are referring to the CD itself, it doesn't really matter which CD-Rom you place it in, the upgrade installation should start automatically, no matter what letter your CD-ROM drive is, or what type of drive it is.
As for what hard drive to install it to , the default is the local disk C for Windows installation. I think it would be better doing that because a great many programs are configured to run on the C drive with the Windows version on the C drive, so if you move the Windows version to another drive, you may have some undesirable results when running other programs, to the point where you may have to re-install those programs. On the other hand, if you are looking for a system running two operating systems, then you should definitely install it to the D drive. It just depends on what you prefer.
