From the last SDCS board meeting, all money spent in facilitating an independent SDMUG was personally contributed by the SDMUG board members themselves, and no SDCS funds were touched.

Likewise, I believe SDMUG's finances are being held as separate from SDCS's as possible, as to do otherwise would be introducing the likelihood of legal troubles for them. It was my impression that SDMUG would go about doing its own thing, and once they have the necessary paperwork to prove they're a non-profit, they'd gift SDMUG's money, not any of SDCS's.

themselves for their "private" contributions to SDMUG's incorporation
from the SDMUG treasury. Since (as one SDMUG member pointed out) they
took all this action without informing or consulting with their
membership, one could make a case that that was sleazy if not illegal.
But it is also strictly a SDMUG affair, and I can't be bothered with it.

I'm afraid I'm more optimistic than you, Lan. :) Basically, if they reimburse themselves for SDMUG's incorporation costs from SDCS's funds, they'd put themselves at risk of legal troubles. Legal troubles revolving around money are never a good thing, especially for non-profit orgs.

I maintain that we need to both wait and see how they go about this, while at the same time amassing as many KPLUG (and other SIG) members as possible to reclaim the SDCS board from the SDMUG representatives.

I've asked to take the Secretary seat, and all I got from Claude was a snippet from the bylaws explaining, in brief, the secretary's responsibilities.

If we're going to have to take over SDCS _anyway_, let's just get up and do it and be honest about it with them.
