It is a thermal pad.  Pad or grease, the point is to keep the gap solid and
thin enough that the thermal resistance of either doesn't become an issue.  (we
don't want air gaps which are far worse)

you can have both there, surrounding the pad top and bottom with grease if you
feel like it.  all they're there for is to allow transfer heat between the cpu
and heatsink w/o an air gap.

you can also have either, but for either, you'd want the gap to be as small as
possible.  thicker = less efficient heat transfer.
