May not be necessary though.  Just edit /etc/modules.conf and change
your alias for ac97.  It should be sound-service-0-3 or 4.  To turn it
off, alias it to off to prevent loading of the sound module, or to your
new module (when you compile it) for your new card.

I don't know about the PIII, but I've been overclocking my Pentium 133
for about a year now.  Could only get it up to 150, after that the
performance of the FPU degrades.
