Hi guys... 

Ashish helped me find the rite kernel.. i think its build to rpm using
srpm(src.rpm) available with redhat.
I encountered just one dependency.. 
which is the requirement of mkinitrd >= 4.2.1.6-1
If anyone else is doing kernel upgrade.. for preparation or whatever
reason.. then u can download kernel from the link provided by ashish
(http://mirror.nsc.liu.se/CentOS/4.4/updates/i386/RPMS/kernel-2.6.9-42.0.2.EL.i58\
6.rpm)
And then download mkinitrd from :
ftp://ftp.pbone.net/mirror/ftp.centos.org/4.4/os/i386/CentOS/RPMS/mkinitrd-4.2.1.8-1.i386.rpm

You may have to use rpm --force -ivh to install mkinitrd..
