This can happen if etherboot (on the client side) does not accept that
DHCP offer for any reason and waits for a valid one (from another
server or so). An offer can be considered invalid if e.g. the
"filename" value is not assigned; newer etherboot's should check for
the presence of a valid filename and in absence of one ignore that
offer (useful with two or more dhcp servers on the same wire).

So, check if dhcpd.conf contains a filename statement.
