Fixed:
After confirming that: /etc/lsb-release returns 
DISTRIB_ID=Ubuntu
DISTRIB_RELEASE=9.04
DISTRIB_CODENAME=jaunty
DISTRIB_DESCRIPTION="Ubuntu 9.04

comment out any sources  [deb-src] from your sources.list file and
do-release-upgrade - 
It should work.
