I'll defer to Shane to provide a canonical answer on 1.
On #2, [1] seems pretty clear that a TM is needed. The fact that many
projects aren't adhering to that isn't a good justification for not
adhering to the branding guidelines IMO.

As David notes, yes, we do need to have TMs in project logos. That not all projects have yet complied is more a result of the fact we often have a hard time finding volunteers with the graphical skills to update logos without mucking them up. It's not a gating issue; the project can certainly checkin and display the logo without the TM, but you do need to have an action item to add the TM at some point.

In terms of assigning logo rights, we are working with legal counsel to provide a simple trademark assignment that the logo designer can sign for us. In the meantime, the Mesos PPMC should simply ensure that the original logo's author has expressed their desire to donate this logo as the Apache Mesos project logo in an email onlist, so we have the intent down clearly.
