I have a mini itx system (EPIA ML 8000).  The fan is small, but surprisingly
quiet.  No fan on the video chip.  My case accomodates a standard 3.5" drive; I
added a 60mm fan to keep that cool.  That same case could have easily supported
2 or 3 2.5" drives instead.  In a very quiet room you could tell it was running.
 I opted for a 5400RPM hard drive, which helped.

www.mini-itx.com should have all the info you need.  The EPIA EN 12000G is
fanless and should meet your specs.  I would still add a large, slow fan to keep
the airflow going though.  The Via chips work great for light duty work.  If
you're looking to encode video though, I'd look elsewhere.
