If they are managed as clients, then you do need an ML for them the same as any 
other managed system.

If you are truly talking about BDPs in ConfigMgr 2007, then those have to have 
an ML on them because they have to be clients. If we are talking about 
ConfigMgr 2012 or CB, please don't call them branch distribution points because 
that's not what they are.

For hosting any actual ConfigMgr site roles though, there is no licensing fee 
whatsoever regardless of location or role of the server hosting the role. There 
wasn't in 2007 and there isn't in 2012 or CB. If your LAR (or whatever they're 
called now since Microsoft renamed them) is telling you differently, I'd 
suggest finding a new license reseller.

Thank you.
That is what I was trying to tell them but they kept coming back stating we 
required a SCCM license for all my DP's (Physical servers at branch locations.) 
 I understand they require OS license but not SCCM license.

No, that's not correct.  Secondary Sites, Distribution Points, and Branch 
Distribution Points do not require any separate licensing beyond the OS license 
itself (server or workstation).  The only SCCM *server* licenses required are 
for the Primary Site, and all SCCM servers attached to that Primary fall under 
its licensing.
