OK, I think I fixed it...

Since I was not SYSTEM, I could not change the permissions.  However, I 
was able to take ownership of the file.  Once I took ownership, I could 
then change the rights for SYSTEM (as well as for ADMINISTRATORS).

Thanks for your patience, but this is why businesses have been slow to 
accept Vista.
