Yes, you first have to upgrade to Native Mode before you can add a
2008 Domain Controller.  You also have to upgrade the Active Directory
Schema with adprep from your 2008 CD before you can add 2008 Domain
Controllers to your existing domain.

You can upgrade in-place without the need to remove/re-add.  You will
have to run the following on your 2003 Domain Controller, from your
2008 installation media, to update the AD Schema:

   adprep /forestprep
   adprep /domainprep
   adprep /domainprep /gpprep

When complete, you can promote your 2008 server to a Domain Controller
with dcpromo.

It can be as an additional Domain Controller. You do not have to
transfer any DC roles until you plan on decommissioning your 2003
