Imaging a DC isn't the best approach and may not leave you in a good fail back position. Doing a system state backup and be prepared to do a restore in directory services restore mode is the better approach. Unless you're going to do additional work on the 2008 server when it is disconnected from the domain, transferring the roles is probably a better idea than siezing them, at least it is cleaner.
MBS can probably speak better about this (if he so chooses), but installing Exchange on a DC isn't really recommended. With the exception of SBS, Microsoft doesn't recommend running Exchange on a DC. If you can get a second server for Exchange, I think you'll be better off in the long run. I have to ask, why aren't you using SBS 2008? Because you need Exchange 2010?
