Let's see.... First, I wrote this blog post against Exchange Server 2007 sp1 -- it applies equally to Exchange 2010.

Then again, once the 2008 R2 server is a member of the domain, there is no reason to execute the prep process on the 2003 server. Don't seize the roles, do a orderly FSMO transfer. You'll have 7 days to do the migration before the SBS 2003 server starts shutting down every hour. There are lots of pieces and parts to this process.
