Hi,

I don't have one to share, rather I recommend to have one written up by a
lawyer.

Some important items to consider:
- who owns the IP? Fine for you to own it, so you can reuse it, but a
venture may have problems with this.
- how quick and at what time do they pay and how much interest, if they
don't. IS this going to fit how you need cash flow (consider different
project sizes)
- What happens if the project gets terminated half way through or stalled to
be terminated? (For example by: client management change, disinterest,
client bust etc)
- who is responsible for installing and who will determine what setup will
be used?

Just a couple of ideas from our contract.
