There are a number of restrictions, and requirements that you must follow.

But there are a few things that everyone should be aware of:

1. It's a policy, not a contract -- so WotC, I believe, can change their
mind at any time.

2. A Publisher that makes use of the policy, and violates it, might not ever
be able to produce d20 Material again -- because one of the points of the
policy, is that if you violate it -- you loose the right to ever use the
Trademarks that WotC grants you the use of in the policy.  Those include the
term "Dungeons and Dragons" -- if you loose the right to use those, then you
can't use the d20 STL (I could be wrong here, as IANAL)

3. You can only convert RULES -- not descriptions, not names, not anything
that is not a "RULE" -- you can not redistribute anything that is not a
RULE, except as specifically granted -- ie Names.  So if you converted an
old 1st Edition Module, you could grab a monster, convert it, and
redistribute the stat block and the name of the monster.  The name must be
marked as PI, and the stat block as OGC.  Trying to include a description in
your "converted document" gets you back into the beholder/mind flayer
discussion.


I am not a lawyer, the above is my personal opinion, your mileage may vary.


Oh, on a related note, the FGA is/was trying to put together some
Step-By-Step directions and some examples of complying with the d20
Conversion Policy, but our day jobs and WotC being extremely busy, we
haven't had a chance to get those out the door.  If there is significant
interest seeing specific examples, and instructions (approved by WotC) then
please let us know (either here, or offline) and we can try to up the
priority on it some.
