I don't think you need a program to shut things down in WinXP.  XP is
different than Win9x.  You may want to shut down running applications which
you can do by right clicking on the task bar and selecting Task Manager.  On
the applications tab, shut down the applications if you want to by selecting
them and choosing end task.  You will see another list of things called
Processes that are running.  I'd leave those alone.

I'm going to utter some heresy here.  I don't ever shut down running
applications to install programs with exception of maybe Office or some
major program that is going to replace system files during the install.  I
really think that that warning in the install programs is a left over from
Win95 and no one ever changed it.  I install dozens of programs a week for
testing and don't shut down anything.  With the new install routines if a
file in use needs to be replaced it will ask you to reboot so that it can do
it.
