Cameron, It is interesting to contemplate this question. The best way to answer it is to determine how you intend to use the system. The 67II is a bit slower to use and the flash synch is an issue for flash fill. This can be overcome by using leaf shutter lenses. For normal flash work, I have not found it to be a problem.
The 645 could more be considered a full replacement of your 35mm system. FA lenses, autofocus, full program mode, motor drive, etc. If you need/want these in your MF system, then the 645nII is the way to go. I personally find that doing portraits, scenics, macro and the like, AF is of no value to me. In fact, it usually causes me to compose poorly because I am dealing with the sensor on the subject to make sure to get the focus right. The slower pace of the 67 helps me to examine and contemplate my shot a little better than I typically do with my 35 gear. People or things on the move are much more amenable to AF and I use my 35 gear for that. 645 format is closer to 35mm ratio and 67 is closer to 8X10. I have come to enjoy the less rectangular format and find that 35mm is a bit wide which is going to cause a significant crop. If you are doing 8X10's the size of negative is bigger than it seems because of almost no crop on the 67 and the sizeable crop of the 645. The other thing that you should do is handle and use both systems to see what feels right and best to you. They do feel and handle different. It took me quite a few visits to the camera shop to finalize my choice between these two. One pleasant thought is that both are great systems and you can't really go wrong with either one.
