Too slow for your overclocked bus.

One of my 540cs uses a stock 32 MB RAM card, but has a 167 MHz 604ev 
processor.

The bus remains at 33 MHz, which is the speed at which the RAM and all 
bus-connected peripherals are run at.

Your RAM card will without doubt work if the bus is run at 33 MHz.
