Sounds like you need to install kernel-devel.

this would be my guess, too. I had VMware Workstation 5.5.x running on my x86_64 installation and the modules compiled just fine and the instances ran for weeks. VMware Workstation 6.0.0 contains the required modules for RHEL 5 (i.e. it doesn't recompile modules during installation) and it works fine on my machine, too.
