flac2mp3 changes directory while it is running so it won't find either
flac or lame if they're not in the path.
A good test:
1. Open a command prompt
2. type "flac" and press Enter
3. type "lame" and press Enter
If you see this then flac is not in your path:
'flac' is not recognized as an internal or external command,
operable program or batch file.
If you see this then flac is not in your path:
'lame' is not recognized as an internal or external command,
operable program or batch file.

Just copy lame.exe into c:\windows\system32, but I wouldn't recommend
that approach.
Personally, I create a directory for my utility programs ("c:\utils")
and add it to my path (Control Panel, System, Advanced, Environment
Variables)
