Ok, I fired up VMWare again only to discover that the guest os must be
running.

So I fired Win2k up in safe mode, re-installed VMWare Tools.
Upon re-booting Win2K - no change.
Went back to safe mode, uninstalled SP4. No Change - same problem.

I re-booted in safe mode - re-installed VMWare tools again
   still hangs at "Preparing Network Connections"

Argh - Safe mode works - but regular does not.  All my Linux stuff
is working great.
