Solved by changing BIOS settings as following:
PCI? (don't remember exactly) - Plug and Play OS: [Yes]
Power - Suspend Mode [S1 (POS) only]
- ACPI 2.0 Support [No]

Same motherboard here.
Using 2.6.22.{1,2} I have a hard reboot with acpi, working fine with acpi=off.

I don't use but tried with new kernel acpi=off kernel parameter nothing
changed.
Tried with debug option, but the boot process fails exactly on the same place
