Use a different device driver, you likely use 'aufs'.
In /etc/default/docker change
DOCKER_OPTS="--storage-driver=aufs"
to
DOCKER_OPTS="--storage-driver=devicemapper"
(or whatever driver you like)
Then start apt-get upgrade again to configure docker.io:
