Frank,
It looks like you are not checking that right options to ASCII out.   If the
file was handed to you like that then there isnt much you can do.  When you
export out, there should be a dialog with options to select connections,
attributes, parts, traces etc.  I generally select all, and export to a 2.x
version. so that it filters and drops PADs newe attributes.

Frank,
Give me some clarificationare you exporting to ASCII first?  Is the
error message from Protel ? or are you trying to open a file in PADs and
that is the message?

With this 3.5 file I'm getting an error message for every component saying
that the footprint can't be found and the component can't be imported. I've
got my available libraries opened but the board is from another designer who's
libraries I don't have. Any work around?

Frank,
I have converted quite a few boards over from PADs.  I own up to PADs 3.5
but have found exporting to an ASCII  version around 2.X works best.  The
layer mapping is generally correct and less can wrong because many of the
PADs "attributes" dont get in the way of the conversion.
