Yes, the BlueZ 5 migration is still being "worked on", and targetted for
Vivid. PulseAudio 6 was part of the issue, but wasn't the only thing
blocking the migration. There are many pieces that need to be updated or
confirmed to work (blueman, indicator-blueooth, gnome-bluetooth, to name

Searching the internet shows many people asking the same question as you, and
the answer seems to be that it was probably a failed shutdown that caused the
issue.
Apparently, the shutdown script creates the file to prevent a fresh login while
the system shuts down. Th

e.g. you didn't install the headers, and moreover this virtualbox
version won't likely build with that kernel (should build against rc1).
