Do we need Joachim to sign a Software Grant

If he not publish it yet as official release we not need this.. correct
me if im wrong..
it's a substantial work developed outside apache so it's best to have
a software grant on record. the process is detailed at
http://incubator.apache.org/ip-clearance/index.html and is reasonably
smooth now.

Can we start in the sandbox?

This should be confirmed by someone with more knowledge of the ASF rules, but following incubator I think that we can start with the svn work and in the mean time complete the IP-clearance issues.

If this is not true, please anyone tell something NOW ;-)

If even a API proposal + prototype + bugfixing/refactoring is
"substantial work" we have to do ALL our private experiments in the
sandbox to avoid later expenses and inconvenience.

I agree.

What is our current policy concerning the sandbox? Do we need to vote to
create a branch/subproject there?

No, we don't need it.
you can create a branch in james/server/sandbox/imap-integration (or any other name making sense for you) and start integrating your code.

Maybe it would be better I would do my OSGi experiments in the
sandbox...

+1 we would have much more visibility on the tests.
again "james/server/sandbox/osgi-experiments" or something similar can be a good candidate for this.
