Same there, and same with 1.3.4 after some testing.  When the box in question 
is checked, the TOC pane opens whether or not there is a TOC in the PDF *and* 
opens whether or not I closed the pane the last time I looked at that file.  In 
short, when the box is checked, the pane opens no matter what.  When it's 
unchecked, then either (a) the file has been opened before and I previously 
closed the pane, or (b) the file hasn't been opened before.  In case (a), the 
pane doesn't open (thank god!).  In case (b) the TOC pane opens if there's a 
TOC in the file but not if there's no TOC.

What's really lacking in Skim is a button in the prefs for "never, ever, under 
any circumstances open a side-pane automatically upon opening a file."
