A "self-perpetuating board" is what? How is it distinguished from a non-self-perpetuating board?

Is a pretty good definition of a Self Perpetuating Board. Many boards , of a Corporation and non-profits are open to elections, say for a position on the board or the position as Chairman of the Board, by the members or shareholders of the organization.
Please correct me if I am wrong, but my understanding is with e-Democracy it really doesn't have any members, and it's board is composed of who the board decide composes it. There is no voting in or out of Board Members, thus it is self-perpetuating in that it controls itself without the input of any membership or shareholders.
