Are you fully patched?  I seem to remember a friend getting something
like this before the win2k rollup patch was applied.

When does this happen?  I believe this is happening when a driver is
unhappy with the world.  I've had weird things happen on win2k machines
with older usb thumb drives, and some HP printers.

The more info you can provide the better.

As for whats software and hardware errors, its hard to tell at times
though real hardware errors tend to blow the machine up more
often than not.
